This limitation applies regardless of whether the alleged liability is based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.

Aggregate Liability Cap: In no event shall our total aggregate liability to you for all damages, losses, and causes of action exceed the total amount you have paid directly to Rehab Mechanics in the six (6) months immediately preceding the event giving rise to the claim, or one hundred Canadian dollars ($100 CAD), whichever is greater.

Jurisdictional Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for personal injury, incidental, or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the absolute maximum extent permitted by that specific jurisdiction's laws.

9. Indemnification

You agree to fully defend, indemnify, and hold harmless Rehab Mechanics, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees, expert witness fees, and court costs) arising out of or relating to:

10. Governing Law, Dispute Resolution, and Arbitration

These Terms, and any disputes arising out of or related to your use of the Website, shall be governed by and construed strictly in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, entirely without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods.

Informal Dispute Resolution: Before filing a formal legal claim, you agree to attempt to resolve the dispute informally by contacting privacy@rehabmechanics.com with a detailed description of your claim. We will attempt to resolve the dispute amicably within thirty (30) days of receiving your notice.

Mandatory Binding Arbitration: If the dispute cannot be resolved informally, any controversy or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be referred to and finally resolved by binding arbitration under the Arbitration Act (Ontario). The arbitration shall be conducted by a single, neutral arbitrator in Toronto, Ontario. The proceedings shall be conducted in the English language and kept strictly confidential. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any legal proceedings or arbitration will be conducted solely on an individual basis and not in a class, consolidated, representative, or mass action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Rehab Mechanics.

Exceptions to Arbitration: Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claims qualify. Furthermore, either party may seek immediate injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's copyrights, trademarks, trade secrets, or patents.

Exclusive Venue: For any matters not subject to arbitration (such as intellectual property injunctions), any legal action, suit, or proceeding shall be instituted exclusively in the provincial or federal courts located in the City of Toronto, Ontario. You hereby irrevocably waive any and all objections to the exercise of jurisdiction over you by such courts.

Time Limit on Claims: You agree that any cause of action or claim you may have arising out of or relating to these Terms of Use or the Website must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently and irrevocably barred.

11. General Provisions and Boilerplate

Severability: If any provision of these Terms is held by a court, arbitrator, or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason (in whole or in part), such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of the Terms will continue in full force and effect.

No Waiver: No waiver by Rehab Mechanics of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, in any way (by operation of law or otherwise), without our prior written consent. We may freely assign, transfer, or delegate these Terms and our rights and obligations without your consent.

Force Majeure: Rehab Mechanics shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet service provider failures, cyber-attacks, or power outages.

Interpretation: The headings and section titles in these Terms are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation."

Entire Agreement: These Terms of Use, alongside our Privacy Policy and any specific product purchase agreements, constitute the sole and entire agreement between you and Rehab Mechanics regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
